<h3>Job Description</h3><p>Job Description<p><p>Our client is a Vancouver-based technology company that provides a last mile delivery service to their customers across Canada. They are looking for an In-House Counsel to join their growing team.</p><p></p><p><strong>Key Responsibilities</strong></p><p><ul><li>Provide advice on governance to senior management, the Board of Directors and the Executive (“Executive”) including: </li><ul><li>Best practices, </li><li>Development of governance, </li><li>Which Governance Body should make which decisions and </li><li>The processes to be followed in making those decisions; </li></ul><li>Provide legal advice and legal services to senior management on a wide range of legal issues, including legal liability, contracts, policy development and application, labour and employment law, and administrative law </li><li>Identify and recommend procedures and practices to protect the company from undue liability and to assist with risk assessment and control; </li><li>Provide strategic legal advice as well as a full range of legal services directly to the Executive; </li><li>Review and advise administration on - contractual matters including contracts, agreements and leases; </li><li>Provide legal advice and services directly to faculties and administrative units when requested by the deans or directors; </li><li>Retain, instruct and oversee external legal counsel on behalf of the company where appropriate; </li><li>In conjunction with external counsel and where appropriate, provide advice on matters related to labour relations and employment law; </li><li>In conjunction with external counsel and where appropriate, represent the executive at mediations, arbitrations and before a variety of administrative board or tribunals; </li><li>Participate in special initiatives and sensitive projects on an as-needed basis; </li><li>Liaise with external counsel on litigation matters; maintenance of corporate minute book including administration and insurance of shares and stock option plan</li><li>Maintain and draft various director resolutions </li><li>Assist in company fund raising efforts including review of term sheet and advisory on capital raising structure</li></ul><strong>Qualifications</strong><ul><li> Law degree and eligibility to practice law in British Columbia. </li><li> Must be a member in good standing, or eligible to become a member, of the Law Society of British Columbia</li><li> Preference given to candidates with experience in the public sector </li><li> In-depth knowledge of contract law with the ability to draft, revise and review all contracts to which the company is a party including property agreements, affiliations agreements, research-related agreements and funding/donor agreements. </li><li> Demonstrated experience in the development and/or review of policies, procedures, practices and processes to limit legal exposure and manage risk.</li><li> Demonstrated skill in negotiation. </li><li> Experience developing, interpreting, explaining and applying policies, procedures and precedents related to various areas of the law. </li><li> Demonstrated superior written and verbal communication abilities. </li><li> Experience in employment law and advising on human rights complaints. </li><li> Superior listening skills with an accessible, consultative management style. </li><li> Ability to relate well to others (inside and outside the company) with the skills to build appropriate and constructive relationships. </li><li> Skillful in managing high tension situations comfortably with diplomacy, tact and patience. </li><li> A team player who enjoys working collaboratively.
